1. Definitions

In these Terms of Use, the following terms have the meanings set out below:


2. Acceptance of Terms

By activating a CourtCard, creating an account, or otherwise accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use. If you do not agree to these Terms, you must not activate any Card or use the Platform.

Your acceptance of these Terms creates a binding agreement between you and CourtOS with respect to your use of the Platform, and between you and the issuing Business with respect to the Card balance and services redeemable against it.

Important: CourtOS acts solely as a technology platform provider. The contractual relationship for goods and services redeemed with your Card exists between you and the issuing Business, not between you and CourtOS.

3. Platform Description

CourtOS provides a technology platform that enables businesses to:

CourtOS does not own, operate, or manage any Business. We do not provide the goods or services offered by Partner Businesses. We are not a financial institution, bank, payment processor, or electronic money issuer.

5.1 Activation Process

To activate a CourtCard, you must complete the following steps:

  1. Provide your full name, phone number, and date of birth.
  2. Verify your phone number by entering a one-time SMS verification code.
  3. Accept these Terms of Use.

5.2 Phone Number as Identity

Your verified phone number serves as your primary identifier on the Platform. You are solely responsible for maintaining control over your phone number and SIM card. Any action performed through your verified phone number will be treated as authorized by you.

5.3 Accuracy of Information

You agree that all information you provide during activation is accurate, current, and complete. You must notify the Business promptly if any of your information changes. CourtOS and the Business reserve the right to suspend or void any Card activated with false or misleading information.

5.4 One Card Per Person Per Business

Each phone number may be associated with only one active account per Business. Attempting to create multiple accounts to circumvent Card limits, exploit promotional offers, or for any fraudulent purpose is a violation of these Terms.


6. CourtCard: Prepaid Credits

6.1 Nature of Credits

Credits stored on a CourtCard are not:

Credits represent a prepaid entitlement to receive goods and services exclusively from the issuing Business, subject to the Business's availability, pricing, and policies.

6.2 Credit-to-Currency Exchange Rate

Each Business sets its own exchange rate between Credits and local currency (e.g., UAH). This rate is displayed at the time of Card issuance and may be adjusted by the Business for future Card purchases. The exchange rate applicable to your Card is fixed at the time your Card is funded and does not change retroactively.

6.3 Expiration

Credits do not expire unless otherwise specified by the Business at the time of issuance. If an expiration policy applies, it will be clearly communicated on the Card or during the purchase process. CourtOS is not responsible for expired Credits resulting from Business-specific policies.

6.4 No Interest or Returns

Credits do not accrue interest, dividends, or any other yield. The balance on your Card is not a loan, investment, or deposit, and CourtOS has no obligation to pay any return on it.


7. Bonus & Promotional Credits

7.1 Bonus Credits

Businesses may offer bonus Credits (e.g., a 10% bonus) on Card purchases. Bonus Credits:

7.2 Activation Bonuses

Some Businesses may offer additional bonus Credits upon Card activation. These are one-time awards and are subject to the same restrictions as other bonus Credits.

7.3 No Vested Right

The existence of a bonus program does not create a vested right to receive bonus Credits on future purchases. Bonus rates are promotional in nature and may change without prior notice.


8. Fees & Pricing

8.1 Platform Fee

A platform fee may be applied to Card purchases. This fee is determined jointly by the Business and CourtOS and is deducted from the purchase price before Credits are allocated. The platform fee does not reduce the Credit balance loaded onto your Card.

8.2 No Hidden Fees

There are no monthly maintenance fees, inactivity fees, or balance inquiry fees charged by CourtOS. Individual Businesses may have their own fee structures for services redeemed with Credits — consult your Business for details.

8.3 Third-Party Charges

Standard SMS messaging rates charged by your mobile carrier apply when receiving verification codes. CourtOS is not responsible for any charges imposed by your telecommunications provider.


9. Transactions & Redemption

9.1 Using Your Credits

Credits may be redeemed at the issuing Business for any goods and services the Business makes available for Credit-based payment. The Business determines which services and products are eligible for Credit redemption.

9.2 Transaction Records

All Credit transactions (loads, redemptions, adjustments) are recorded on the Platform. You may check your balance at any time via your Card's QR code or balance page. Transaction records maintained by the Platform are considered authoritative in case of disputes.

9.3 Insufficient Balance

If your Credit balance is insufficient for a transaction, the Business may allow you to pay the difference through other means at their discretion. Partial Credit redemptions are permitted where the Business supports them.


10. Refund & Cancellation Policy

10.1 Non-Refundable

Credits loaded onto a CourtCard are non-refundable and cannot be exchanged for cash, transferred to a bank account, or converted into any other form of payment. This applies to both purchased Credits and bonus Credits.

10.2 Exceptions

Refunds may be issued solely at the discretion of the issuing Business, in accordance with the Business's own refund policy and applicable local consumer protection laws. CourtOS does not process refunds directly.

10.3 Chargebacks

If a Card Purchaser initiates a chargeback or payment reversal on a Card purchase, the associated Card may be immediately frozen or voided. The User agrees to cooperate with any investigation into disputed transactions.


11. Gift Cards

11.1 Gift Card Issuance

CourtCards may be purchased as gifts. The Card Purchaser provides the recipient's name and contact information. The recipient receives a unique claim link via email or other delivery method chosen by the Business.

11.2 Claim Link Security

The claim link is the sole method of initiating Card activation. You are responsible for the security of your claim link. Anyone with access to the claim link and the associated phone number can initiate the activation process. CourtOS is not liable for Cards activated by unauthorized persons who obtained access to both the claim link and the phone.

11.3 Unclaimed Cards

Unclaimed gift Cards remain in an issued state until activated. The Business may impose time limits on claiming, subject to applicable consumer protection laws.


12. Card Restrictions & Suspension

12.1 Business's Right to Freeze or Void

The issuing Business reserves the right to freeze (temporarily suspend) or void (permanently deactivate) any Card at its discretion, including but not limited to situations involving:

CourtOS reserves the right to suspend access to the Platform or any Card if we reasonably believe that:

12.3 Effect of Suspension

A frozen Card cannot be used for transactions until unfrozen by the Business. A voided Card is permanently deactivated; any remaining balance may be forfeited. Neither CourtOS nor the Business is liable for losses resulting from Card suspension or voiding where such action was taken in accordance with these Terms.

12.4 Non-Transferability

Cards are non-transferable to another person unless the Business explicitly supports and authorizes Card transfers. You may not sell, trade, auction, or otherwise commercially distribute your Card or Credits.

CourtOS does not guarantee, endorse, or assume any liability for the quality, safety, legality, or availability of any Business's services or products.


15. Platform Role & Limitations

15.1 Technology Provider Only

CourtOS is a technology platform that facilitates the issuance and management of prepaid Cards on behalf of Businesses. We are not a party to any transaction between you and the Business. We do not:

15.2 Business Closure or Insolvency

If a Business ceases operations, becomes insolvent, or otherwise fails to honor Card balances, CourtOS has no obligation to refund, reimburse, or compensate Users for unredeemed Credits. Your recourse in such situations is against the Business, not against CourtOS.

Risk acknowledgment: By activating a CourtCard, you acknowledge that your Credit balance is backed solely by the issuing Business's commitment to provide services. CourtOS does not hold reserves, guarantees, or insurance for Card balances.

16. Privacy & Personal Data

We do not sell, rent, or trade your personal data to third parties for marketing purposes. We will not disclose your data to any party other than those listed above, except where required by law, court order, or valid legal process.

We retain your personal data for as long as your account is active or as needed to provide services. After account closure, we retain data for a minimum period required by applicable law (typically up to 5 years for financial records) and then securely delete it.

17. Marketing Communications

During Card activation, you may opt in to receive marketing communications (news, promotions, special offers) from the issuing Business via email. This consent is entirely optional and does not affect your ability to activate or use your Card.

If you opt in, you may withdraw your consent at any time by:

Essential Card-related communications (verification codes, security alerts, balance notifications) are not marketing and will be sent regardless of your marketing preferences.


18. Intellectual Property

18.1 Platform IP

The CourtOS name, logo, branding, user interface design, software code, and all related intellectual property are owned by CourtOS or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on any part of the Platform.

18.2 User Content

By uploading a profile photo or providing other content, you grant CourtOS and the issuing Business a non-exclusive, royalty-free, worldwide license to use, display, and store that content for the purpose of operating the Platform and managing your account.

18.3 Feedback

Any feedback, suggestions, or ideas you provide about the Platform may be used by CourtOS without restriction or compensation.


19. Disclaimer of Warranties

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WITHOUT LIMITING THE FOREGOING, COURTOS DOES NOT WARRANT THAT:


20. Limitation of Liability

20.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL COURTOS, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY:

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COURTOS'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE AMOUNT OF PLATFORM FEES ACTUALLY RECEIVED BY COURTOS IN CONNECTION WITH YOUR SPECIFIC CARD, OR ONE HUNDRED US DOLLARS (USD $100), WHICHEVER IS LESS.

20.3 Essential Basis

The limitations in this section reflect a reasonable allocation of risk and are an essential basis of the agreement between you and CourtOS. CourtOS would not provide the Platform without these limitations.


21. Indemnification

You agree to indemnify, defend, and hold harmless CourtOS, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising out of or in connection with:


22. Dispute Resolution

22.1 Disputes with Businesses

Any disputes regarding goods, services, pricing, or quality at a Business must be resolved directly between you and the Business. CourtOS is not a party to such disputes and has no obligation to mediate or resolve them.

22.2 Disputes with CourtOS

If you have a dispute with CourtOS regarding the Platform, you agree to first attempt to resolve it informally by contacting us. If the dispute cannot be resolved informally within 30 days, either party may pursue formal resolution.

22.3 Governing Law

These Terms are governed by and construed in accordance with the laws of Ukraine, without regard to conflict of law principles. Any formal legal proceedings shall be brought exclusively in the courts of competent jurisdiction in Kyiv, Ukraine.

22.4 Class Action Waiver

TO THE EXTENT PERMITTED BY LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.


23. Termination

23.1 By You

You may stop using the Platform at any time. To close your account and request data deletion, contact the issuing Business. Note that account closure does not entitle you to a refund of any remaining Credit balance.

23.2 By CourtOS

CourtOS may suspend or terminate your access to the Platform at any time, with or without cause, with or without notice. Grounds for termination include but are not limited to: violation of these Terms, suspected fraud, prolonged inactivity (over 24 months), or discontinuation of the Platform.

23.3 Effect of Termination

Upon termination, your right to access the Platform ceases immediately. Sections 6.1, 10, 15, 19, 20, 21, 22, and 27 survive termination.


24. Force Majeure

Neither CourtOS nor any Business shall be liable for any failure or delay in performing obligations under these Terms due to circumstances beyond their reasonable control, including but not limited to: natural disasters, war, terrorism, pandemics, government actions, power outages, internet disruptions, cyberattacks, or failures of third-party service providers (including SMS carriers and hosting providers).


25. Modifications to Terms

CourtOS reserves the right to modify these Terms at any time. When we make changes:

If you do not agree with modified Terms, your sole remedy is to stop using the Platform. Material changes will not apply retroactively to disputes or events that occurred before the change.


26. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible, and the remaining provisions will continue in full force and effect. The unenforceable provision will be modified to the minimum extent necessary to make it enforceable while preserving its original intent.


27. Entire Agreement

These Terms, together with any policies or guidelines referenced herein, constitute the entire agreement between you and CourtOS with respect to your use of the Platform. These Terms supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written, between you and CourtOS regarding the Platform.

No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision.
